An active user is any user with a defined role on the solution: team members being tracked, operational managers, management controllers, or procurement staff. Disabled accounts and API integrations are not counted.
Billing works by cumulative tiers — this is what enables a decreasing unit price as your organisation grows. Each tier you reach is billed in full, and the active tier is the one in which your last active user falls.

Yes. If a tier change is needed during the year, it is possible to adjust the user tier at any time. The amount due is prorated based on the remaining time until the contract anniversary date.
